UnitedHealth Group Settles Litigation, Clearing Way for $3.3 billion Acquisition of Amedisys

On August 7, 2025, UnitedHealth Group (UHG) settled its litigation with the U.S. Department of Justice and several State Co-Plaintiffs, clearing the path to close its $3.3 billion acquisition of Amedisys. UHG and Amedisys are two of the nation’s leading hospice and home health care providers.
The merging parties retained Compass Lexecon’s Senior Managing Director Professor Dennis Carlton and Econic Partners’ Founding Partner Jon Orszag to testify about competitive effects of the proposed merger and address the divestiture proposal put forward by the merging parties.
Professor Carlton’s team was led by Yoad Shefi and included Professor Jonathan Kolstad, Theresa Sullivan, Tal Wolfson, Tomas Wilner, Junyan Guan, Liam Ziaja, and Eli Sorensen.
