Mondi expands with €634 million acquisition of Schumacher Packaging’s Western Europe assets

Compass Lexecon advised packaging and paper manufacturer Mondi in its acquisition of the German, Dutch and UK operations of Schumacher Packaging, which expanded its corrugated packaging capacity in Western Europe. The deal was subject to regulatory approval. The European Commission cleared the transaction at the end of March 2025.
Situation
In October 2024, Mondi agreed to acquire Schumacher Packaging’s assets in Germany, the UK and the Netherlands to strengthen its corrugated packaging capacity in Western Europe. The transaction would add over 1 billion square metres of packaging capacity and would expand Mondi’s product portfolio to better meet solutions for clients in e-commerce, FMCG and other sectors.
Our role
Compass Lexecon was hired to support Mondi and its external legal counsel with the merger filings with the European Commission.
Outcome
The European Commission concluded that the transaction would not raise competition concerns. It cleared the deal unconditionally at the end of March 2025.
