Robert M. Daines, Leading Expert in Corporate Governance and Mergers & Acquisitions, Joins Compass Lexecon

Compass Lexecon is pleased to announce that Robert M. Daines, a leading expert in corporate governance and mergers & acquisitions, and the Pritzker Professor of Law and Business and Co-Director of the Rock Center on Corporate Governance at Stanford, has joined the firm as a Senior Consultant. He is also Professor of Finance (by courtesy) at the Stanford Graduate School of Business.

Professor Daines' research focuses on the intersection between law and finance, including CEO pay, corporate governance, mergers and acquisitions, mandatory disclosure regulations, IPOs, shareholder voting and takeover defenses. Professor Daines' work has appeared in such top publications as the Journal of Financial Economics, the Journal of Law, Economics and Organization, and The Yale Law Journal. His research has also been covered by The Economist, The New York Times, The Wall Street Journal, Financial Times, Forbes, Fortune, and other media. He has been a member of the NASDAQ Stock Market Review Council, Chair of the Corporate and Securities Law Section of the American Law and Economics Association and Chair of the Law and Economics Section of the Association of American Law Schools.

Professor Daines received his J.D. from Yale Law School in 1992, where he won the Olin Prize for best paper on law, economics and public policy. He then clerked for Judge Ralph K. Winter of the U.S. Court of Appeals for the Second Circuit. He spent several years as an investment banker at Goldman Sachs, where he advised firms on bank and bond financings. Since then, Professor Daines has taught law and led research at Stanford, NYU, Yale and Columbia. In 2012, he was awarded the John Bingham Hurlbut Award for Excellence in Teaching. He has also served as an expert witness on numerous cases involving mergers and acquisitions, complex transactions and corporate structure, and has been retained by the Securities and Exchange Commission to advise on merger-related issues. He was most recently affiliated with Cornerstone Research.
