Finnish security service firm Loihde receives conditional approval to acquire BLC Turva

Compass Lexecon provided economic advice to Finnish security services company Loihde during the Phase II merger review by the Finnish Competition and Consumer Authority ('FCCA') of Loihde’s acquisition of BLC Turva. The FCCA conditionally approved the deal in May 2026.

Situation

Loihde Oyj, a Finnish organisation specialising in digital development and security solutions, announced in November 2025 that it had signed an agreement to acquire the entire share capital of BLC Turva Oy. Loihde and BLC Turva are suppliers of security solutions in Finland. They are active in the physical security market, providing security technology and structural security systems and related installation, maintenance and support services. Loihde is also active in the digital security market. The transaction was subject to the approval of the FCCA.

Our role

The FCCA opened an in-depth investigation in January 2026. Compass Lexecon assisted Loihde and its external counsel during the Phase II review.

Outcome

The FCCA approved the transaction at the end of May 2026, conditional upon divestiture of the overlapping locking businesses in the regions South Karelia, South Savo, and Central Finland. The FCCA did not identify competition concerns in other physical security markets.
